Terms & Policies
The following terms govern services provided by Cosmic Dawn Consulting Ltd (“we”, “us”), a private limited company registered in the United Kingdom. By engaging us for work, you agree to the terms below.
1. Terms & Conditions
1.1 Scope of work
Each engagement is documented in a written proposal or statement of work. Anything outside that scope additional features, redesigns, or out-of-scope content will be quoted separately and only undertaken with written agreement.
1.2 Intellectual property
On full payment, you receive ownership of the final deliverables produced specifically for your project (designs, code written for your site, custom imagery). We retain rights to underlying tools, frameworks, design components, and any pre-existing intellectual property used in the work. We reserve the right to display non-confidential portions of delivered work in our portfolio unless otherwise agreed in writing.
1.3 Payment terms
- Project work: 20% deposit on commencement, 80% on delivery, unless otherwise stated.
- Ongoing management: invoiced annually in advance.
- Invoices are payable within 14 days of issue.
- Late payment may suspend ongoing services after written notice.
1.4 Confidentiality
We treat any information shared during an engagement as confidential and will not disclose it to third parties except as required to deliver the work, or by law.
1.5 Liability
Our total liability for any claim arising from an engagement is limited to the fees paid for that engagement in the preceding twelve months. We are not liable for indirect, consequential, or incidental losses.
2. Delivery Policy
2.1 Digital delivery
All deliverables are provided digitally. Source files, credentials, and access are transferred via secure channels agreed at the start of the project.
2.2 Timelines
Project timelines are estimated in the proposal and confirmed at kick-off. Milestone dates depend on timely client feedback (typically within 5 working days). Delays in feedback may shift subsequent milestones accordingly.
2.3 Handover
On project completion, we provide a handover package: deployed site, source repository access (where applicable), administrative credentials, and a written summary of the implementation. Ongoing-management clients receive continued access as part of the plan.
3. Refund & Cancellation Policy
3.1 Cancelling project work
You may cancel a project at any time by giving written notice. We will invoice for work completed up to the cancellation date and provide whatever has been produced in its current state. Deposits cover work already started and are generally non-refundable once production has begun.
3.2 Refund eligibility
Refunds are considered case by case. We will refund any amount paid that exceeds the value of work completed up to the cancellation date.
3.3 Ongoing-management cancellation
Ongoing management plans renew annually. You may cancel at the end of any 12-month term with at least 30 days' written notice. Mid-term cancellations are not refunded, but we will continue to provide service until the end of the paid period.
3.4 Force majeure
Neither party is liable for delays or failures caused by events outside reasonable control, including but not limited to acts of nature, infrastructure outages, or government action.
